On 29 December 2020, KELER Zrt. created a total of 10,049,568 units of series “C” dematerialised ordinary shares for the Company with a face value of HUF 12.5 each and a total face value of HUF 125,619,600, with an ISIN code of HU0000164504, as part of a tap issue (hereinafter: “Shares”).

In its resolution no. 399/2020, Budapesti Értéktőzsde Zrt. (the Budapest Stock Exchange)  

introduced into exchange trading the Company’s above-mentioned Shares on 29 December 2020 and appropriately amended the data of the relevant Product List with respect to the above series of securities.

The Shares originate from the capital increase associated with the contribution of the shares representing 20% of the registered capital of INICIÁL AUTÓHÁZ Kereskedelmi és Szolgáltató Korlátolt Felelősségű Társaság (registered seat: 9028 Győr, Külső Veszprémi utca 6.; incorporated by: the Registry Court of the Győr Regional Court; company registration number: Cg. 08-09-010382; tax number: 12841622-2-08) to the Company.

The entity entitled to receive the Shares is TARÓDY Operatív Korlátolt Felelősségű Társaság (registered seat: 9200 Mosonmagyaróvár, Fészek utca 2.; incorporated by: the Registry Court of the Győr Regional Court; company registration number: 08-09-031617; tax number: 27318214-2-08) as the entity providing the contribution, and the entity did not exceed the relevant five (5) per cent threshold by acquiring the Shares.
