As part of its expansion in Slovenia, the Board of Directors of AutoWallis has decided to acquire, by way of a contribution, the nearly 5,000 square metre plot of land owned by AutoWallis subsidiary Wallis Motor Ljubljana, which houses the complex consisting of the dealership and service centre, a 5,400 square metre retail property, a 1,800 square metre warehouse area, and 127 parking spaces. Wallis Motor Ljubljana operates the only BMW dealership in the Slovenian capital and the only Land Rover dealership in the country in addition to selling new and used BMW vehicles and providing repair services for BMW, MINI, Jaguar, and Land Rover vehicles. The EUR 4.4 million asset value of the company C182 Razvoj Nepremičnin Ljubljana d.o.o. (C 182), which owns exclusively Slovenian real estate properties, was determined by an independent appraiser and will be paid by AutoWallis using only new shares derived from the capital increase. The issue value of the 17.1 million new shares to be issued under the contribution is the 30-day average stock exchange price of HUF 101.18. The new shares will be acquired by Milton-Property Kft., the party performing the contribution on behalf of C182, which is owned by Wallis Asset Management Zrt., the main owner of AutoWallis, and which undertakes a lock up for their sale for one year from the time of acquisition.
